1. Scope and acceptance
By accessing or using finovamax.com (the "Site"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, please do not use the Site.
Your use of the Site is also subject to our Privacy Policy, which explains how we handle personal data.
2. Who we are
The Site is operated by Apex Grid Technologies Limited, a company incorporated in Nigeria. Where these Terms refer to "FinovaMax", "we", "us", or "our", they mean Apex Grid Technologies Limited and its officers, employees, and authorised agents.
3. Permitted use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for the following purposes:
- Reading the public-facing content we publish.
- Submitting forms (demo requests, consultation enquiries, API access requests, newsletter signup).
- Downloading materials we explicitly offer for download.
- Communicating with us through the channels we provide.
Any other use requires our prior written permission.
4. Prohibited use
You agree not to:
- Use the Site for any unlawful purpose or in breach of any applicable Nigerian or international law.
- Attempt to gain unauthorised access to the Site, any related systems, or the FinovaMax platform.
- Probe, scan, or test the vulnerability of the Site or any network connected to it without our prior written consent.
- Use any automated means (including bots, scrapers, crawlers, harvesters, or AI agents) to extract content, contact information, or technical specifications at scale, except for well-behaved search-engine indexing in accordance with our
robots.txtfile. - Reverse engineer, decompile, or otherwise attempt to derive the source code of any software made available through the Site.
- Submit content that is false, misleading, defamatory, infringing of third-party rights, or otherwise unlawful through any form on the Site.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Use the Site to transmit unsolicited communications, viruses, malware, or other harmful code.
- Interfere with the operation of the Site or the experience of other users.
- Use the Site, or any data or content obtained from it, to train, fine-tune, evaluate, or develop any machine-learning model, large language model, or other artificial-intelligence system without our prior written consent.
5. Your submissions
When you submit information to us through the Site — for example by completing a demo-request form, sending an enquiry, or providing feedback ("Submissions") — you represent that:
- The Submission is accurate and not misleading.
- You have the right to provide the Submission and are not breaching any obligation owed to a third party (employer, partner, supplier) by sending it.
- The Submission does not contain confidential information of any third party that they have not authorised you to share.
You grant us a non-exclusive, royalty-free, worldwide licence to use your Submission for the purpose of responding to your enquiry, managing our relationship with you, and improving our services. Submissions are handled under our Privacy Policy.
6. Intellectual property
All content on the Site — including text, graphics, logos, icons, images, product names, descriptions, source-of-truth statistics, audio and video material, and the design and layout of the Site — is owned by Apex Grid Technologies Limited or its licensors and is protected by Nigerian and international copyright, trademark, and other intellectual-property laws.
"FinovaMax", the FinovaMax logo, "Apex Grid Technologies", and related marks are trademarks of Apex Grid Technologies Limited. You may not use them without our prior written consent except for fair-dealing references in industry analysis, academic work, or journalism, with attribution.
You may not copy, reproduce, republish, distribute, modify, or create derivative works of any content on the Site, in whole or in part, without our prior written permission, except where permitted by Nigerian copyright law for fair dealing.
7. Third-party links
The Site may contain links to third-party websites, services, or resources that we do not operate or control. We provide these links for convenience only. The presence of a link does not imply endorsement, and we are not responsible for the availability, content, security, or privacy practices of any third-party site you reach by following a link from the Site.
8. No warranty
The Site is provided on an "as is" and "as available" basis. To the maximum extent permitted by Nigerian law, we make no representations or warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation any warranty of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.
We do not warrant that the Site will be free from errors, interruptions, or security incidents, that defects will be corrected, or that the Site or the server that makes it available are free of viruses or other harmful components.
Information published on the Site about the FinovaMax platform — including feature descriptions, technical statistics, integration partners, and regulatory positioning — is provided for general information only and is not a substitute for the contractual commitments contained in the Platform Master Agreement.
9. Limitation of liability
To the maximum extent permitted by Nigerian law, in no event shall Apex Grid Technologies Limited, its directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business opportunity, or goodwill, arising out of or in connection with your use of, or inability to use, the Site — whether based on contract, tort (including negligence), statute, or any other legal theory, and whether or not we have been advised of the possibility of such damages.
Our aggregate liability for any claim arising from or relating to the Site is limited to the greater of (a) any amount you have paid us directly in the 12 months preceding the claim, or (b) NGN 50,000.
10. Indemnification
You agree to indemnify and hold harmless Apex Grid Technologies Limited, its directors, employees, agents, and affiliates from and against any claim, demand, action, liability, loss, damage, cost, or expense (including reasonable legal fees) arising out of or relating to:
- Your breach of these Terms.
- Your violation of any applicable law or any third-party right.
- Any content you submit through the Site that is false, misleading, infringing, defamatory, or otherwise unlawful.
- Your unauthorised use of the Site or any data obtained from it.
11. Suspension and termination
We may, without notice, suspend or terminate your access to the Site, or to any part of it, where we reasonably believe you are in breach of these Terms, where required by law or regulation, or where necessary to protect the Site, our users, or third parties.
Termination does not affect rights or obligations that, by their nature, are intended to survive (including Sections 6, 8, 9, 10, 12, 13 and 14).
12. Changes to these Terms
We may update these Terms from time to time. The "Effective" date at the top of this page shows when the current version took effect. Material changes will be announced via the Site at least 14 days before they take effect. Your continued use of the Site after the effective date of an update constitutes acceptance of the updated Terms.
13. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict-of-laws principles.
Any dispute arising out of or in connection with these Terms or your use of the Site shall be resolved as follows:
- The parties shall first attempt to resolve the dispute by good-faith negotiation.
- If unresolved within thirty (30) days, the dispute shall be referred to mediation under the rules of the Lagos Multi-Door Courthouse.
- If mediation fails, the dispute shall be submitted to the exclusive jurisdiction of the competent courts of Lagos, Nigeria.
14. Miscellaneous
Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
No waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of substantially all of our assets, on notice to you.
Entire agreement. These Terms, together with our Privacy Policy and any other policies posted on the Site, constitute the entire agreement between you and Apex Grid Technologies Limited with respect to your use of the Site.
No partnership. Nothing in these Terms creates a partnership, joint venture, employment relationship, or agency between you and Apex Grid Technologies Limited.
